1. Acceptance of Terms

By using our website or services, you confirm that you have read, understood, and agree to be bound by these Terms. This forms a legal agreement between you and AppHaru Pvt. Ltd., based in Mid Baneshwor, Kathmandu, Nepal, and APPHARU PTE. LTD., located at 77 High Street, #10-12B, High Street Plaza, Singapore 179433. Your continued use signifies acceptance, including any future updates we may post.

3. Your Responsibilities

To ensure smooth project delivery, you agree to:

• Provide all required content (text, images, videos) on time in digital formats (e.g., Word, JPEG).
• Grant access to necessary accounts (e.g., hosting, domains) when needed.
• Offer timely feedback within three (3) business days of requests.
• Appoint one contact person for clear communication.

Failure to meet these responsibilities may delay the project or incur extra costs.

4. Payment Terms

AppHaru provides a project quote detailing scope, timeline, and costs, valid for 30 days. Payment terms are as follows:

5. Project Timeline and Delivery

We aim to deliver projects on time: basic websites in 15 days, complex ones (e.g., eCommerce) in 30–60 days, as outlined in the quote. Delays caused by you (e.g., late content) may extend deadlines or add a 25% surcharge if over 10 days. We're not liable for delays beyond our control (e.g., natural disasters).

6. Revisions

You'll review deliverables during design and development phases. We include:

• Up to three (3) minor revision rounds (e.g., text tweaks, colors) within seven (7) days of delivery.
• Extra revisions or major changes (e.g., layout overhaul) cost NPR 2,500 or USD 20 per hour, quoted upfront.

7. Intellectual Property

Upon full payment, you own the final website design and content we create for you. However:

• Our Rights: We retain ownership of code, scripts, and proprietary tech (e.g., custom plugins).
• License: You get a non-transferable license to use deliverables as intended.
• Third-Party Content: You're responsible for rights to any content you provide (e.g., images).
• Credit: A “Designed by AppHaru” link may appear in your site's footer (removable for NPR 5,000 or USD 40).

AppHaru promises not to engage in any actions that could harm the client's intellectual property or their rights to it.

AppHaru is not responsible for any violation of intellectual property rights or theft linked to papers, information or data given by the client during and after the project.

8. Confidentiality

AppHaru agrees not to reveal any confidential information about the client's business or affairs to third parties, except in the case of suppliers who have signed proper secrecy agreements or when the client has given specific permission.

AppHaru may provide client information to legal or government institutions if needed by authorized methods.

9. Data Privacy and Protection

• Personal Data: AppHaru is committed to respecting your privacy and protecting any personal data that is collected during the course of the project. Any data collected will be used solely for the purpose of delivering the agreed-upon services and complying with legal obligations.
• Cookies: Our website uses cookies to enhance user experience. By using our services, you consent to the use of cookies as described in our Privacy Policy.
• Data Security: AppHaru employs reasonable measures to protect the data provided by the Client. However, we cannot guarantee absolute security of data transmission over the internet.

10. Termination

• Termination by the Client: The Client may terminate the agreement by providing written notice. In such cases, the Client will be responsible for payment for all work completed up to the point of termination.
• Termination by AppHaru: AppHaru reserves the right to terminate the agreement if the Client fails to make payments, breaches these Terms, or fails to cooperate in the timely execution of the project.

11. Limitation of Liability

• Indemnity: AppHaru will not be held liable for any indirect, incidental, or consequential damages arising from the use of our services or website.
• Maximum Liability: The maximum liability of AppHaru for any claim, regardless of the cause, is limited to the total amount paid by the Client for the project in question.

12. Force Majeure

Neither party will be held liable for any failure or delay in performance caused by events beyond their reasonable control, including but not limited to natural disasters, acts of government, or technical failures.

13. Amendments to Terms

AppHaru reserves the right to update or modify these Terms at any time. Any changes to these Terms will be communicated to the Client, and the updated Terms will apply to ongoing or future services.

14. Governing Law

• The agreement between AppHaru and the client is based on these Terms and Conditions.
• In the event of disagreements or confusion, an agreement with App Haru Private Limited (Nepal) is governed by and interpreted in line with the laws of Nepal, and an agreement with APPHARU PTE. LTD. (Singapore) is governed by and interpreted in line with the laws of Singapore.
• The company you are contracting with is named in your quotation, agreement or invoice.
• It's important for both AppHaru and its customers to understand and agree to these Terms and Conditions before participating in any projects or services offered by AppHaru. These Terms and Conditions create the legal framework for their business connection.
